In Short: The Plain-English Version

No scams, no confusion. Here’s the deal:

1. Free Beats, Free Use: The beats we send are free to download and free to rap over. You can post your finished songs online and perform them live.

2. But, You Don't Own It: You're getting a free Promotional License. I still own the beat.

3. If You Blow Up & Make Money: This is key. If your song gets big and you want to sell it, stream it for profit, or get it on Spotify/Apple Music, we MUST sign a simple agreement first. This sets up fair splits for me (The Party Killer) and gives you the right to monetize. It's standard industry practice—no hidden fees, just transparency.

4. Credit Is Required: Whenever you post the song, the credit "Prod. by PKClasik" must be in the caption/title and you must tag my official account @PKClasik (or the applicable handle for the platform).

By downloading or using a beat, you agree to these basic rules. It keeps things fair for everyone. The legal details below just spell it all out clearly.

5. Credit & Attribution

For any and all promotional use of a Song containing the Beat, the Licensee is required to provide clear and visible credit to the Licensor. This credit must include:

· The producer tag: "Prod. by PKClasik" in the post's caption, track title, or description.

· A direct tag of the Licensor's official social media or platform profile (e.g., @PKClasik on Instagram, @PKClasik on YouTube, etc.).

Failure to provide this credit is a material breach of this agreement.

· "Licensor": The Party Killer (Producer), a member of ASCAP.

· "Licensee": The artist who downloads or uses an instrumental beat.

· "Beat": The original instrumental music composition and sound recording provided.

· "Commercial Release": Any distribution of a song containing the Beat for sale, streaming monetization, or physical reproduction.

2. Grant of License

By downloading or using a Beat provided via promotional email from The Party Killer, the Licensee is granted a non-exclusive, royalty-free license for demonstration and promotional use only. This includes:

· Recording vocals over the Beat ("the Song").

· Uploading the Song to streaming platforms (e.g., SoundCloud, YouTube) for non-monetized, promotional purposes.

· Performing the Song live.

3. Exclusivity & Ownership

This is a Non-Exclusive license. The Licensor retains 100% ownership and copyright of the underlying Beat composition and master recording. The Licensee does not own the Beat.

4. Clearance for Commercial Release (Sales & Monetization)

The promotional license DOES NOT permit monetization or sale. Any Commercial Release of a Song containing the Beat requires a separate, written licensing agreement with The Party Killer prior to distribution.

This agreement will formally establish:

· Mechanical License & Fee: For the reproduction and distribution of the composition.

· Master Use License & Fee: For the use of the sound recording.

· Publishing Splits (ASCAP): Division of performing rights (writer's share) and administration (publisher's share). The Licensor's PRO affiliation (ASCAP) must be registered on the Song's metadata.

· Points on the Master: A negotiated percentage of revenue from sales and streams of the final recording.

Failure to secure a commercial license prior to monetization is a breach of this agreement and copyright infringement, subject to legal action.

5. Credit

In any promotional use, the Licensee must credit: "Produced by The Party Killer" in the track title (e.g., "Song Title (Prod. by The Party Killer)") or clearly in the description/metadata.

6. Marketing Consent

By submitting an email to receive Beats, the Licensee agrees to receive periodic marketing communications from The Party Killer. Opt-out options are provided in every email.

7. Agreement to Terms

Submission of your email for Beat downloads constitutes acknowledgment of these terms. Furthermore, if a Song using a Beat is distributed, gains significant traction, or is monetized, the Licensee automatically agrees to formalize the usage under a commercial license as outlined in Section 4. The Party Killer reserves all rights to collect accrued royalties and invoice for past unlicensed usage.
